Services primarily include: 1) field engineering and power systems services, such as system upgrades, system design and modernization, power system studies, grounding studies, installation, and start-up; 2) custom controls, such as manufacturing and rebuilding of electrical equipment like breakers and switchgear, turnkey electrical buildings, and custom control panel design and assembly; and 3) physical supply of products. The Company works with a range of industrial, utility, mining, and institutional customer markets. As a result, the majority of the Company's revenue is from repeat business and referrals. • Strong Client Relationships: The Company has long-standing relationships with its clients, some spanning more than 20 years. The top 5 clients have all worked with the Company for over 10 years. • Established Blue-Chip Clients: The Company works with some of the largest blue-chip firms in the utility, industrial, institutional, and oil and gas industries in Canada. • High Barriers-to-Entry: Working with clients such as utilities requires extreme technical acumen, ability, and specialized training. Additionally, to compete in the same field, a competitor would have to gain proper certifications and have relationships. • Modest Ongoing Capital Investment Requirements: Management does not expect a significant investment in capital assets to be required over the pro forma period.
